Toshiba Group Standards of Conduct

As the Toshiba Group looks to become an enterprise trusted by society, we have set up management principles respecting humanity, creating new values, and contributing to the lives and cultures of different countries around the world. At the same time, we operate our business under a management vision in which we aim to make adequate profits and sustainable growth and to bring our customers comfort and joy through the professional expertise and actions of each of our personnel and the collective efforts of our people. These Toshiba Group Standards of Conduct (hereinafter called the “SOC”) have thus been established in order to make our management principles and management vision a reality and as a basis to guide our activities so that we can operate under the principles of fairness, integrity and transparency and contribute to the formation of a sustainable society. Each of the directors, corporate auditors, and officers (hereinafter called the“Directors”) and employees (hereinafter called the “Employees”) of Toshiba Group should comply with the SOC and strive to operate a sound and high quality business as a part of a global enterprise which emphasizes a balance between the environment, human rights and local communities under the principle of giving the highest priority to life, safety and compliance with laws, regulations, social norms and ethics.

Message from the CEO to all Toshiba Directors, Executive Officers and Employees

Continuing to Earn the Trust of Society

Toshiba Group does business around the globe, but the fundamental base necessary for us to continue our business activities is the trust and respect of the community in each and every country and region in which we operate. In order to form this base, Toshiba Group respects corporate social responsibility (CSR), under the basic policy of giving the highest priority to human life, safety and compliance with laws, regulations, social norms and ethics. In order to thoroughly confirm the commitment of such activities, Toshiba Group has established the Toshiba Group Standards of Conduct based on the Basic Commitment of the Toshiba Group and endeavored to have these standards govern the daily business activities of each and every one of us.

We live in a time when people want companies to embody the principles of fairness, integrity and transparency as well as to make meaningful contributions toward the formation of a sustainable society. Violations by companies of laws and regulations and other corporate misconduct continue to occur worldwide and, regrettably, Toshiba Group has been no exception. Criticism from society of such corporate misconduct is a serious issue that threatens even the continued existence of offending companies.

It has also become essential for companies to address global environmental issues and to conduct their business and make their contributions with an understanding of the differences in the economies, societies and cultures of the various countries and regions around the globe.

Toshiba Group has revised its Standards of Conduct with this in mind. We also hope to take this opportunity to review whether the Standards of Conduct are firmly rooted in our day-to-day business operations. In particular, all employees are encouraged to take a step back and remember that compliance is the basis of our operations and that we should act with a high level of ethics and integrity, as well as in compliance with laws and regulations. Also, we should be aware of anything that prevents proper performance of these Standards of Conduct and proper compliance and make efforts to correct or remove such obstacles.

In order for us to continue to operate as a global enterprise trusted by society, all members of Toshiba Group starting with myself should make the Toshiba Group Standards of Conduct a part of our common values and utilize these standards in our day-to-day operations.
